Terms of Service

Effective June 2, 2026

These Terms of Service (“Terms”) form a binding agreement between you and Kholagi Enterprise LLC, a Maryland limited liability company (“Kholagi,” “we,” “us,” or “our”), governing your access to and use of the Life Vault service available at https://lifevaultapp.app and related applications (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You may use the Service only if you are at least 18 years old, capable of forming a binding contract under applicable law, and not barred from receiving the Service under the laws of the United States or your jurisdiction. By using the Service you represent that all of these conditions are true. The Service is intended for personal, non-commercial use; you may not use it on behalf of another person without their explicit written authorization.

2. Accounts and User Responsibilities

  • You are responsible for providing accurate registration information and keeping it up to date.
  • You are responsible for safeguarding your password and any device or authenticator used to access your account. You must notify us promptly of any unauthorized access.
  • You are solely responsible for the content you place in your vault, including its accuracy, legality, and your right to store and disclose it.
  • You must keep your beneficiary and emergency contact records current. Life Vault relies on these records and on your heartbeat check-ins to operate correctly.
  • You agree not to use the Service to store or transmit unlawful, infringing, or harmful content, to attempt to gain unauthorized access to other accounts, or to interfere with the Service’s operation.
  • You are responsible for maintaining continued access to the email address associated with your account. Loss of access to that email may prevent you from receiving heartbeat reminders, cancelling a beneficiary release, or recovering your account.

3. Heartbeat and Beneficiary Release Process

Life Vault uses a periodic “heartbeat” to confirm that you are still active. The interval is six months for Free accounts and three months for Pro accounts. If you do not check in:

  • We send a sequence of heartbeat reminder emails and a final reminder.
  • If reminders go unanswered for approximately 30 days past your scheduled heartbeat, your designated beneficiary receives a notification with a tokenized link to request access.
  • Once the beneficiary requests access, a mandatory 14-day waiting period begins, during which you may still cancel the release by checking in or by using a one-click block link.
  • If the waiting period elapses without cancellation, the beneficiary is granted a single, time-limited legacy access session (30 days) to view and download your vault materials.

Legacy release occurs only when your configured heartbeat workflow escalates according to your selected settings. Life Vault does not independently verify death, incapacity, identity, legal status, authority, inheritance rights, or beneficiary entitlement before initiating the user's configured heartbeat escalation and release workflow. All release actions are performed solely according to the settings, beneficiaries, and release rules configured by the user within the Service. The Service relies solely on the absence of your check-ins and the timers you have configured. You are solely responsible for keeping your check-in cadence, beneficiary records, and emergency contact records accurate.

You acknowledge that the legacy release process is designed for your protection but is not a substitute for a will, trust, or other legal estate instrument. Kholagi Enterprise LLC is not your fiduciary, attorney, or executor, and the Service does not transfer legal title to any asset.

4. Emergency Contact Notifications

You may designate up to five emergency contacts. Emergency contacts are notified only after the full heartbeat escalation has run and the legacy release process has begun. Each emergency contact receives a one-time tokenized email; they cannot view your vault content, modify your account, or cancel the release. You are responsible for informing each emergency contact that they have been listed and for obtaining any consent required by applicable law.

5. Subscription Plans, Billing, and Renewal

  • Free plan. No charge. Includes a personal vault with no file attachments and a six-month heartbeat interval.
  • Pro plan. Paid subscription. Includes up to 10 GB of encrypted file attachments, a three-month heartbeat interval, and an extended 12-month legacy protection window after release.
  • Pro subscriptions renew automatically at the end of each billing cycle (monthly or annual, as selected) at the then-current price. You authorize us, through our payment processor, to charge your payment method for each renewal until you cancel.
  • We may change pricing on a prospective basis. Material price changes will be communicated by email at least 30 days before they take effect, and you may cancel before the change applies.
  • Except where required by law, all fees are non-refundable. Partial periods are not pro-rated on cancellation.
  • Billing questions, invoice requests, refund inquiries permitted by law, and payment-method updates should be directed to billing@lifevaultapp.app.

6. Cancellation and 30-Day Grace Period

You may cancel your Pro subscription at any time from your account settings. Cancellation puts your subscription into a 30-day grace period during which:

  • You retain access to your vault and uploaded files;
  • You may reverse the cancellation with one click and restore full Pro functionality;
  • No further charges are made and renewals are suspended.

If you do not reverse the cancellation, at the end of the 30-day grace period your account is downgraded to Free, uploaded files are permanently deleted, and any beneficiary release in progress continues under Free-plan retention rules.

7. Account Termination

You may delete your account at any time from your account settings. Deletion is preceded by the 30-day grace period described above. We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, used the Service unlawfully, created risk or legal exposure for us or other users, or failed to pay amounts due. Where feasible, we will give you notice and an opportunity to cure. On termination, your right to use the Service ends immediately; sections of these Terms that by their nature should survive termination (including Sections 8, 9, 10, 11, 12, and 13) will survive.

8. Not Legal or Financial Advice

Life Vault is not a law firm, accounting firm, financial advisor, or fiduciary, and does not provide legal, tax, financial, estate-planning, or fiduciary advice. The Service is not a substitute for a will, trust, estate attorney, healthcare directive, durable power of attorney, beneficiary designation, or any other legal estate-planning instrument. You are solely responsible for determining whether Life Vault is appropriate for your personal circumstances and for consulting qualified professionals about your estate plan. Nothing in the Service creates an attorney-client, fiduciary, or advisory relationship between you and Kholagi Enterprise LLC.

9. Disclaimer of Warranties

The Service is provided “as is” and “as available.”

To the maximum extent permitted by law, Kholagi Enterprise LLC and its affiliates, officers, employees, agents, and suppliers disclaim all warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free; that any data will be preserved without loss; or that any heartbeat reminder, final reminder, beneficiary notification, emergency contact alert, password reset, or other email sent by the Service will be delivered to the recipient’s inbox, accepted by their mail provider, opened, read, or acted upon within any particular timeframe or at all. Email deliverability depends on factors outside our control, including the recipient’s mail provider, spam filters, forwarding rules, and account status. You are responsible for (a) maintaining current and accurate beneficiary and emergency contact information, (b) maintaining continued access to the email address on your account, (c) performing your heartbeat check-ins on the cadence you have selected, and (d) maintaining independent estate-planning arrangements outside of the Service.

10. Limitation of Liability

To the maximum extent permitted by law, in no event will Kholagi Enterprise LLC or its affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total fees you paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the smallest extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Kholagi Enterprise LLC and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your content, your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party (including any beneficiary or emergency contact you designate).

12. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Maryland, United States, without regard to its conflict-of-laws principles. You and Kholagi Enterprise LLC agree to submit to the exclusive jurisdiction of the state and federal courts located in Maryland for the resolution of any such dispute, and you waive any objection to venue in those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13. Changes to These Terms

We may modify these Terms from time to time. Material changes will be announced by email or via an in-app notice at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

14. Miscellaneous

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Kholagi Enterprise LLC regarding the Service.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
